Please read the following Terms and Conditions carefully. By selecting “Yes” and submitting this form, you acknowledge and agree to be legally bound by the provisions below. 1. Term and Duration of Coverage Draft Ding LLC provides commissioner support for an extended term designed to promote long-term league stability. Your initial payment covers up to 18 months of service, including: The current regular season, The subsequent offseason, Through the rookie draft of the following year. Annual renewals occur in April. Each renewal covers up to 24 months of service, extending through two complete league seasons and offseasons, ending at the rookie draft two years later. Draft Ding LLC does not contribute to league buy-ins or its own service costs. Users are responsible for ensuring timely renewal payments to maintain coverage. 2. Scope of Coverage Services offered under this agreement may include: Team rehabilitation and stabilization, Manager replacement (as necessary), Milestone tracking, Internal review and monitoring. These services are designed to support the structural integrity of your league but do not constitute league governance. 3. Payment Terms Payment is made via a secure Stripe link provided by Draft Ding LLC. The commissioner is responsible for distributing the payment link to league members. The full amount, including applicable Stripe processing fees (approx. 2.9% + $0.30 per transaction), must be paid in full to activate service. Services will not commence until payment has been received and confirmed by Draft Ding LLC. 4. Team Review & Eligibility Draft Ding LLC retains the exclusive right to: Conduct a full intake review of all league data, Flag any team as unrecoverable or ineligible for service. In such cases, Draft Ding LLC may recommend a compensatory draft pick or FAAB reset, but these shall not constitute grounds for a refund or future service credit. 5. Buy-In Limits and LeagueSafe Compliance Draft Ding LLC may temporarily list its account as the official manager of any orphaned team to maintain LeagueSafe compliance and league integrity. The assigned Draft Ding agent is responsible for team operations. If the team wins, the prize is distributed to the agent as manager of record. Leagues with a buy-in exceeding $1,000 USD are not eligible for service during Year 1. High-stakes leagues may be accepted in Year 2 or later, at the sole discretion of Draft Ding LLC. 6. Replacement Efforts and Limitations Draft Ding LLC will make a commercially reasonable effort to recruit replacement managers for abandoned teams. However, no replacement is guaranteed in cases of: League-wide inactivity, Abusive or toxic conduct by members, Commissioner-level misconduct or structural failure. 7. Data Ownership and Usage All league data submitted (including screenshots, rosters, and settings) remains the exclusive property of the original league and hosting platform. Draft Ding LLC: Does not claim ownership of any league data, Uses submitted data solely to fulfill the agreed-upon services, Will never use data to train software, develop unrelated products, or for third-party commercial use. Draft Ding LLC is a fully independent service provider, unaffiliated with any fantasy sports platform. 8. Limitation of Liability To the maximum extent permitted under Arizona law, Draft Ding LLC shall not be liable for: League dissolution, internal disputes, or poor performance, Indirect, incidental, consequential, or punitive damages. Total liability shall not exceed the actual amount paid by the user for services rendered under this agreement. 9. Indemnification The user agrees to indemnify, defend, and hold harmless Draft Ding LLC, its agents, employees, and representatives from any and all claims, demands, losses, liabilities, damages, or legal expenses arising out of: User’s misuse of services, Violation of these Terms and Conditions, League-related disputes, misconduct, or noncompliance. 10. No Guarantee of Performance Draft Ding LLC does not guarantee: Team performance outcomes, Championship wins, Positive user feedback or league satisfaction. Services are rendered on a best-effort basis to restore structure and accountability. 11. Force Majeure Draft Ding LLC shall not be responsible for any delay or failure to perform due to circumstances beyond its control, including but not limited to: Natural disasters or acts of God, Hosting platform outages, Internet or utility failures, Illness, emergency, or accident, Technical disruptions or third-party service interference. 12. Right to Modify Terms Draft Ding LLC reserves the right to amend these Terms and Conditions at any time. Notice of material changes will be provided via reasonable means. Continued use of services constitutes acceptance of updated terms. 13. Governing Law and Jurisdiction These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of Arizona, without regard to conflict of law rules. All disputes shall be resolved exclusively in the courts of Maricopa County, Arizona. 14. Dispute Resolution If a dispute arises, the parties agree to attempt informal resolution first. If resolution cannot be achieved, the matter shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration will be conducted in Maricopa County, Arizona, and judgment may be entered in any court of competent jurisdiction. 15. Entire Agreement This Agreement represents the entire understanding between the parties and supersedes all prior communications, negotiations, or agreements, whether oral or written, relating to the subject matter herein. 16. Severability If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. 17. Non-Waiver No failure or delay by Draft Ding LLC in exercising any right or remedy shall operate as a waiver of that right or remedy. 18. Assignment and Delegation Users may not assign, transfer, or delegate their rights or obligations under this Agreement without the prior written consent of Draft Ding LLC. 19. Right to Suspend Services Draft Ding LLC reserves the right to suspend or terminate services without refund if the user engages in misconduct, abuse, or violates the provisions of this Agreement. 20. Notices and Communication All notices or updates will be delivered via the email address provided by the user or through public posting on Draft Ding LLC’s official website. It is the user’s responsibility to maintain an up-to-date contact method. 21. Class Action Waiver To the fullest extent permitted by law, users agree that any claim shall be brought only in their individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
